  1. Definitions

    1. 1.1. Services: All web development, design, SEO (Search Engine Optimization), SMO (Social Media Optimization), mobile app development, digital marketing, and related tasks offered by Neel Networks.
    2. 1.2. Deliverables: Final files, designs, code, or content specified in the project scope.
    3. 1.3. Client Materials: Content, logos, images, or text provided by the client.
    4. 1.4. Working Day: Monday through Friday, excluding public holidays. Standard working hours are six hours per day.
  2. Scope of Work

    1. 2.1. All services will be performed strictly as per the mutually approved scope.
    2. 2.2. New features or requests not explicitly mentioned in the original scope will be considered additional and charged extra.
    3. 2.3. Scope changes or new requests will be addressed only after mutual agreement.
    4. 2.4. This is a fixed-price proposal. Any scope extension will be separately quoted.
  3. Validity of Proposal

    1. 3.1. Proposals remain valid for a period of 15 calendar days from the date of submission.
  4. Project Timeline and Delays

    1. 4.1. Project timelines are estimates based on standard working hours (5 days/week, 6 hours/day).
    2. 4.2. Delays due to natural disasters, Acts of God, emergency medical conditions, or unavailability of team members may cause up to 10 working days of delay.
    3. 4.3. Neel Networks will make efforts to provide substitute personnel in case of such events.
    4. 4.4. Idle time caused by delayed client responses will require schedule and cost re-evaluation.
    5. 4.5. Neel Networks requires 15 days to reinitiate the project after being put “On Hold.”
  5. Project Closure and Reinitiation

    1. 5.1. The project will be deemed shelved if no client response or holding message is received within 15 working days from the last email.
    2. 5.2. Once shelved, Neel Networks will require up to 15 working days to remobilize the team and restart the project.
  6. Revisions Policy

    1. 6.1. Each project includes a maximum of 2 rounds of revisions:
    2. 6.1.1. First round after initial draft submission.
    3. 6.1.2. Second round after implementing the first revision.
    4. 6.2. Repeating changes, contradictory feedback, or requests from newly assigned client personnel will be treated as extra and chargeable.
  7. Client Responsibilities

    1. 7.1. Clients must provide timely inputs including content, imagery, access credentials, and feedback.
    2. 7.2. Acceptance testing must be completed by the client within 15 days of deployment.
    3. 7.3. The website will go live only upon formal client approval.
  8. Communication and Approvals

    1. 8.1. All approvals and changes must be submitted in writing (email or official project tool).
    2. 8.2. Verbal instructions will not be considered final.
  9. Payment Terms

    1. 9.1. Payment is due upon receipt of invoice.
    2. 9.2. Any overdue payments may result in suspension of services without further notice.
    3. 9.3. Final files and credentials will be handed over only after full payment.
  10. Refund Policy

    1. 10.1. Refunds apply only to services provided directly by Neel Networks, not third-party tools. Domain registrations, hosting fees, premium plugins, and external services are excluded from any refund claims.
    2. 10.2. Valid reasons for refund consideration include:
    3. 10.2.1. Services not delivered as per agreed scope.
    4. 10.2.2. Services materially different from proposal.
    5. 10.2.3. Unresolvable technical issues.
    6. 10.3. Refunds will be partial and based on completed work.
    7. 10.4. All requests must be made via email and will be processed within 10 business days of approval.
  11. Intellectual Property and Licensing

    1. 11.1. Client assumes all legal responsibility for any provided content, images, or third-party licenses.
    2. 11.2. Neel Networks is not liable for copyright claims from client-supplied materials.
    3. 11.3. Final design/code is transferred to the client post full payment.
    4. 11.4. Neel Networks retains the right to showcase the work in its portfolio.
  12. Hosting and Maintenance

    1. 12.1. Hosting is not included unless specified.
    2. 12.2. AMC (Annual Maintenance Contract) is optional and priced separately after go-live.
  13. Third-Party Services and Integrations

    1. 13.1. Any third-party themes, plugins, APIs, or licenses will be billed separately.
    2. 13.2. Neel Networks is not responsible for service disruption or issues due to third-party vendors.
  14. Warranties and Disclaimers

    1. 14.1. All services are provided “as is” without warranty, except for bugs or functional errors identified within the agreed support or maintenance period, which will be addressed as part of the service commitment.
    2. 14.2. We do not guarantee specific results, uptime, or future performance.
  15. Limitation of Liability

    1. 15.1. Neel Networks shall not be held liable for indirect or consequential damages.
    2. 15.2. Our total liability shall not exceed the total amount paid for the specific service.
  16. Indemnification

    1. 16.1. The client agrees to indemnify Neel Networks against any third-party claims resulting from unauthorized or illegal use of provided materials or deliverables.
  17. Force Majeure

    1. 17.1. Neither party is liable for delays due to events beyond reasonable control, including natural disasters, wars, government actions, or pandemics.
  18. Dispute Resolution

    1. 18.1. Any dispute shall first be resolved amicably.
    2. 18.2. If unresolved, the jurisdiction shall lie within the legal framework of Mumbai, Maharashtra, India, and all legal proceedings shall be subject to the exclusive jurisdiction of the courts located in Mumbai.
  19. Policy Updates

    1. 19.1. Neel Networks reserves the right to update these Terms of Service at any time.
    2. 19.2. Continued use of our services implies acceptance of the updated terms.
